By accessing or using ParkNoted's mobile application, website, or services ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Services.

2. Description of Service

ParkNoted provides a QR code-based parking location tracking system that helps users:

• Scan QR codes to save parking locations
• Track and find parked vehicles using GPS navigation
• View parking history for up to 30 days
• Reserve parking spaces at participating facilities
• Access information about EV charging and wheelchair-accessible parking
• Manage parking facilities (for Parking Owners)

3. User Accounts

3.1 Account Creation

To use ParkNoted, you must create an account by providing accurate and complete information including your name, email address, phone number, and vehicle details. You must be at least 18 years old to create an account.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials. You agree to notify us immediately of any unauthorized access or use of your account.

3.3 Account Types

• Mobile Users: Individual drivers tracking their parking locations
• Parking Owners: Facility operators managing parking spaces with QR codes

4. User Responsibilities

You agree to:

• Provide accurate vehicle and account information
• Use the Services only for lawful purposes
• Not interfere with or disrupt the Services
• Not attempt to gain unauthorized access to our systems
• Comply with all applicable parking facility rules and regulations
• Pay any parking fees as required by facility owners
• Not share your account with others

5. Parking Owner Responsibilities

Parking facility owners using ParkNoted agree to:

• Provide accurate information about parking spaces
• Properly install and maintain QR codes at parking locations
• Clearly display pricing and accessibility information
• Comply with ADA requirements for accessible parking
• Honor reservations made through the platform
• Maintain safe and legal parking facilities

6. Payments and Fees

6.1 Free Services

Basic parking location tracking features are provided free of charge to mobile users.

6.2 Paid Parking

Some parking facilities charge fees for parking. These fees are set by the facility owner, not ParkNoted. You agree to pay all applicable parking fees when using paid parking spaces.

6.3 Reservations

Reserved parking spaces may require advance payment. Cancellation policies are set by individual parking facilities.

7. Parking History and Data

Your parking history is stored for 30 days from the parking date. After 30 days, parking session data is automatically deleted. We are not responsible for lost data after this retention period.

8. Location Services and GPS

ParkNoted uses GPS and location services to help you navigate to your parked car. You must grant location permissions for these features to work. Location accuracy may vary based on device capabilities and environmental factors.

9. Disclaimers and Limitations

9.1 Service Availability

We strive to provide reliable service but do not guarantee uninterrupted access. Services may be temporarily unavailable due to maintenance, updates, or technical issues.

9.2 Accuracy

While we work to ensure accuracy of parking location information, we do not guarantee that all information is complete, accurate, or up-to-date. GPS navigation is provided as a convenience and should not replace your judgment.

9.3 Third-Party Facilities

ParkNoted is not responsible for the condition, safety, or operation of third-party parking facilities. Issues with parking facilities should be addressed directly with the facility owner.

9.4 Vehicle Safety

ParkNoted does not provide security or insurance for your vehicle. We are not responsible for theft, damage, or any incidents occurring at parking facilities.

10. Intellectual Property

All content, features, and functionality of ParkNoted, including but not limited to text, graphics, logos, icons, images, and software, are the exclusive property of ParkNoted and protected by copyright, trademark, and other intellectual property laws.

11. Prohibited Conduct

You may not:

• Use the Services for any illegal purpose
• Reproduce, duplicate, or copy any part of the Services
• Reverse engineer or attempt to extract source code
• Remove or modify any copyright or proprietary notices
• Create fake accounts or impersonate others
• Harass, abuse, or harm other users
• Distribute malware or harmful code

12. Termination

We reserve the right to suspend or terminate your account at any time for violation of these Terms or for any other reason. You may also delete your account at any time through the app settings.

13. Limitation of Liability

To the maximum extent permitted by law, ParkNoted and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or other intangible losses resulting from your use of the Services.

14. Indemnification

You agree to indemnify and hold harmless ParkNoted, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses arising from your use of the Services or violation of these Terms.

15. Changes to Terms

We may modify these Terms at any time. We will notify users of significant changes via email or app notification. Your continued use of ParkNoted after changes constitutes acceptance of the updated Terms.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions.
